By downloading, installing, or using the Untility mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.
Untility is a mobile application that provides event countdown widgets for iOS devices. The App allows you to:
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use on iOS devices that you own or control.

All data you create within the App (including event names, dates, and settings) is stored locally on your device. We do not collect, access, transmit, or store any of your personal information or user data. For more information, please review our Privacy Policy.
The App, including all content, features, functionality, and design, is owned by Untility and is protected by international copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time without notice. We may also update these Terms from time to time. Continued use of the App after any such changes constitutes your acceptance of the new Terms.
The App does not integrate with any third-party services, analytics, or advertising networks. The App operates independently on your device.
If you download the App from the Apple App Store, you acknowledge and agree that:
These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with any of its provisions. Upon termination, you must cease all use of the App and delete all copies from your devices.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the App shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Untility regarding the App and supersede all prior agreements and understandings.
